Paramount: Now (finally) Under New Ownership! A special committee at the company has approved a deal that will merge Paramount Global with Skydance after David Ellison acquires National Amusements, Inc. (Nai) for about $2 billion.
The National Amusements theater chain has a controlling interest in Paramount. Skydance Media CEO Ellison is paying for that control, and then he’ll make Paramount buy his production company.
All told, it is expected to cost Ellison and his financial backers at RedBird Capital Partners in the ballpark of $8 billion to make this happen, as first reported by CNBC’s David Faber. On top of Shari Redstone’s $2 billion for her family’s Nai, $4.5 billion more will go to current Paramount shareholders; another $1.5 billion in cash will be contributed to Paramount’s balance sheet. The numbers are pretty fresh and could still change some, a person with knowledge of the goings-on tells IndieWire.

Paramount Global’s independent special committee agreed to recommend a revised offer from David Ellison’s Skydance Media, paving a way for the potential merger of his production company with the struggling media conglomerate, according to the Wall Street Journal and other media reports.
The decision, which follows months of negotiations, now puts the fate of the media conglomerate in the hands of controlling shareholder Shari Redstone.
Representatives for Paramount and Skydance declined to comment.
Under Skydance’s initial two-step plan, the company offered around $2 billion to acquire Redstone’s National Amusements, which owns 77% of Paramount’s class A voting stock and 5.2% of its class B common stock. The second step would then see Skydance merge with Paramount to create a combined company valued at around $5 billion.
An individual familiar with the plan previously told TheWrap that former NBCUniversal CEO Jeff Shell and Skydance’s chief creative officer Dana Goldberg...

We don’t know very much about The Gorge, the latest film from Sinister, The Black Phone, and Doctor Strange director Scott Derrickson. Announced a year and a half ago, it’s an Apple Original Film coming our way from Skydance Productions and has Anya Taylor-Joy (Furiosa) and Miles Teller (Top Gun: Maverick) in the lead roles – and it has just earned a PG-13 rating from the Motion Picture Association ratings board for intense sequences of violence and action, brief strong language, some suggestive material and thematic elements.
Taylor-Joy recently told the folks at Collider that she was drawn to The Gorge because “I was really excited to work with Miles [Teller]. We’re all good friends, but we’ve been wanting to work together for a really long time. I think I was intrigued by the fact that it was semi genre-less in the sense that it was both a...

Mattel's next "big" movie may have found its director, as Deadline reports today that Sam Hargrave has closed a deal with Skydance and Mattel Films to helm the toy company's upcoming film "Matchbox." Hargrave is best known as the director of the Netflix film "Extraction" and its sequel; Netflix has said the first film in the franchise is one of the most-watched original movies it's ever released.
Mattel, the company that brought fans a billion-dollar "Barbie" movie, is clearly looking for another huge hit, and based on his track record at Netflix, Hargrave is able to get audiences seated. The first "Extraction" film dropped in 2020, starred Chris Hemsworth, and was reportedly watched by 99 million households during its first month on the streamer. While Netflix's data and viewership measurements are notoriously opaque, that's still a hell of a number, and it's one that could translate to success when it comes to "Matchbox.

Exclusive: After successfully launching the Extraction film franchise at Netflix, director Sam Hargrave has his eyes set on another potential franchise with a piece of IP that is revving its engines to get out the gate. Sources tell Deadline that Skydance and Mattel Films have closed a deal with Hargrave to direct a live-action movie based on Matchbox, Mattel’s iconic real-world die-cast toy vehicle line. David Coggeshall and Jonathan Tropper are penning the script.
Skydance’s David Ellison, Dana Goldberg and Don Granger will produce alongside Robbie Brenner for Mattel Films. The project will be shepherded by Aimee Rivera for Skydance and Elizabeth Bassin and Andrew Scannell for Mattel Films.
The iconic Matchbox brand was invented in 1953 by automotive enthusiast Jack Odell to solve a challenge for his daughter, who was allowed to take a toy to school only if it was small enough to fit in a matchbox.

Amazon Prime Video’s upcoming series based on James Patterson’s Alex Cross novels is being renewed for Season 2, Variety has learned from sources.
The show, which stars Aldis Hodge as Cross, has yet to debut its first season or even set a premiere date. But according to sources, Amazon was impressed enough with what they have seen from the first season to greenlight the second and begin casting. Jeanine Mason has reportedly already been cast in Season 2.
Reps for Amazon declined to comment.
If “Cross” proves to be popular, it would be the latest successful Amazon series based on a long-running novel character. The company found themselves with a massive hit on their hands courtesy of “Reacher” starring Alan Ritchson, based on the Jack Reacher novels written by Lee Child. Likewise, Amazon’s longest-running series to date was the cop drama “Bosch,” based on the Harry Bosch novels written by Michael Connelly.

Skydance and Paramount are deep into hashing out a complicated deal that would see the David Ellison’s studio and its backers take control of the storied film and television company owned by Shari Redstone. The exclusive month-long negotiating period through May 3 is likely to be extended perhaps by a few weeks, Deadline hears, given the complexity of the transaction.
The rough contours of a Skydance deal would see a circa $2 billion payout to Redstone for a majority stake in family holding Nai (which controls Paramount though its voting Class A shares) as well as the National Amusements theater chain and associated real estate assets. Step two would see Paramount acquire Skydance in an all-stock deal valued at circa $4-5 billion. That’s being worked on and will likely wind up at the high end of the range.

Forty years ago, author William Gibson brought the world a cyberpunk novel called Neuromancer – and an adaptation of that story has been trudging its way through development hell pretty much ever since. Versions of a feature film adaptation have passed through the hands of director like music video maker Chris Cunningham, A Nightmare on Elm Street 3: Dream Warriors and The Blob‘s Chuck Russell, Torque‘s Joseph Kahn, Cube‘s Vincenzo Natali, and Deadpool‘s Tim Miller. While these projects were being put together (and while they fell apart), Neuromancer fans always wondered who would end up playing the lead character, Henry Dorsett Case. Hayden Christensen was rumored to be the top contender when Kahn was going to direct (with Liv Tyler rumored to co-star). Liam Neeson and Mark Wahlberg were said to be in the running for Natali’s version, although it wasn’t said who they might be playing.

Andy and Barbara Muschietti, the filmmaking team behind the $1 billion grossing It movies and last year’s The Flash, have teamed up with Skydance to launch a brand new horror division.
Named Nocturna, the Muschiettis will co-own the label and will run its creative direction. The focus of Nocturna will be on high quality, genre features for global audiences in both theatrical and streaming, with the goal of producing two films per year.
Nocturna is not launching with an empty casket. The first project out of the gate will be They Will Kill You, written by Kirill Sokolov and Alex Litvak, with Sokolov, who wrote and directed the 2019 black action comedy Why Don’t You Just Die!, attached to direct.
“Under this label, we are excited to deliver the full range of emotions that our movies pack: Heart, humor and horror,” said the Muschiettis in a statement.
